HARD-LINE MACHINE LEARNING HACKATHON (“HLMLH”) PARTICIPATION AGREEMENT
HLS Hard-Line Solutions Inc. (“Hard-Line”) is proud to present the Hard-Line Machine Learning Hackathon (“HLMLH”). By agreeing to participate in this event, you, the registrant(s), Participants confirm that they have reviewed and agree to this Participation Agreement (the “Agreement”).
The HLMLH will take place between January 17, 2020 at 6:00pm and January 19, 2020 at 12:00pm
followed by submission presentations in the interest of innovation and collaboration, with a focus on
solving identified challenges using machine learning.
Entry: the submission from Participants for the HLMLH, excluding the Hackathon Content described below.
Hackathon Content: all the content, data, and information made available to Participants for the purpose of HLMLH.
Participant: Participants as an individual and/ or a team.
Participants must be at least 18 years of age and a legal resident of Canada.
Participants must not be subject to contractual limitations or employment conditions that restricts their ability to fully participate in HLMLH.
Hard-Line reserves the right, in their sole discretion, to disqualify any Participant who does not meet the eligibility criteria or who fails to comply with the Participation Agreement.
The terms of this Agreement will continue to apply, despite disqualification.
If a Participant has a disability and requires accommodation, they must inform Hard- Line so that reasonable accommodation may be made.
It is strongly recommended that teams are formed for the challenge, with a maximum of four (4) participants per team.
Participants may register as one team or register individually. If Participants
register individually, they will be assigned to a team based on complementary skill sets, to the best of the organizer’s ability.
Individual participants may not work on multiple teams.
EQUIPMENT AND EXPENSES
Participants are required to provide their own computer and any other equipment required to develop an Entry. WiFi and power will be provided at the venue.
Meals and refreshments will be provided throughout the event.
Participants are responsible for their own transportation and any other personal expenses throughout the duration of HLMLH.
CODE OF CONDUCT
Participants agree to the HLMLH Code of Conduct available here: LINK.
Each team may submit only one entry.
To be eligible, each entry must:
– fall under one of the two challenges listed at www.hardlinehacks.com;
– be submitted in electronic form by 12:00pm on Sunday, January 19, 2020 using the online form provided by the organizer;
– be demonstrated by at least one team member to the judges during the judging period (approximately 1:00pm to 4:00pm on January 19, 2020);
– does not contain malware, backdoors, or corrupt or malicious code;
– comply with all applicable laws.
Entries must not have been previously published, exhibited publicly, or submitted in other contests.
Entries must not violate any existing agreements or obligations related to proprietary information,
confidentiality, non-competition or any similar agreement with any employer, person or entity.
All custom solution code used in Entries must be developed during HLMLH. Participants may, however, work on concepts, designs, wireframes or mock ups in advance.
JUDGING AND PRIZES
Winners will be announced on Monday, January 27, 2020, on www.hardlinehacks.com and the event’s Facebook page.
The Entries will be judged based on criteria developed by Hard-Line, which will be made available to Participants prior to HLMLH.
The Participant who submitted the Entry that is awarded the highest score based on the criteria set out above will be selected as the winner. Hard-Line reserves the right to select more than one winner per challenge.
Prizes will be divided evenly amongst the winning team’s participants, unless otherwise noted.
Provided that the Participant agrees to the terms and conditions of this Agreement, Hard-Line grants access the right to access Hackathon Content for the purposes of HLMLH.
Participants are permitted to reproduce, use, communicate and display the Hackathon Content in one Entry solely for the purposes of HLMLH.
This access granted to the Participant under this Agreement shall be non-exclusive and non-assignable and will expire at the close of HLMLH on January 19, 2020. Upon the close of the Hackathon on January 19, 2020, Participants will make no further attempt to download or access the Hackathon Content and must destroy all copies of Hackathon Content.
Participants retain the rights to full, unencumbered, non-exclusive use of their Entries. Commercial use of Entries may not directly compete with Hard-Line’s product lines.
Participants acknowledge that Hard-Line and their affiliates and/or partners, currently and in the future, may be developing software, techniques, ideas, products or services that may be similar to Participant’s Entries or other material created or shared during the course of HLMLH. Participation in HLMLH and sharing Entries of other software, techniques, works of authorship, concepts, ideas or other materials (“Shared Material”), does not create any express or implied agreement or obligation that would in any way limit or preclude Hard-Line or affiliates from developing, having developed, creating, acquiring, using, licensing, distributing or otherwise exploiting products, content of services that are similar or identical to those Shared Materials, or otherwise place Hard-Line or affiliates in any different position from any other member of the public with respect to Shared Materials. Participants agree that Shared Material is submitted on a non-confidential basis.
Participants grant Hard-Line the right the record and/ or photograph them during the course of HLMLH.
Participants agree to the use of name, recordings, statements and photographs taken by the organizers,
without further notice or compensation, in any publicity or advertisement carried out by the organizers.
Participants may post on social media during the event, but may not disclose any Hackathon Content or the ideas of other Participant’s Entries.
Participants agree that their personal data provided as part of HLMLH may be used for purposes of HLMLH, carrying out recruitment activities and sharing information on future events similar in nature.
Hard-Line will not use personal information for any other marketing purposes without consent.
LIABILITY RELEASE AND INDEMNITY
Under no circumstances will the organizers be liable for any direct, incidental, indirect, special or consequential damages, injuries, claims or losses in connection with, arising out of or relating to HLMLH and/or this Participant Agreement in any way. Participants indemnify and hold Hard-Line and its officers, employees, agents, affiliates, contractors or vendors, harmless against any claims, losses, damages,
liabilities and expenses incurred by Hard-Line in connection with, arising out of or relating in any way to HLMLH and/ or this Agreement.
Hard-Line reserves the right to cancel, amend or suspend HLMLH or to amend this Agreement, for any reason, and without prior notice or obligation. If Hard-Line updates or amends this Agreement, the amended version will be made available on the website and will be effective as of the time they are posted. Participants are responsible for checking the website regularly for any updates.
If any of the provisions in this Agreement are held invalid or unenforceable, such a finding will not affect the validity or any other provisions of this Agreement.
